Terms and Conditions

By placing an order with Hills Fine Art & Craft (“us”) ( registered business name of Hill (Agencies) Ltd,) (whether on our website, through our sales representatives, in writing, by telephone, email or otherwise) for any goods promoted for sale by us, you agree to contract with us in accordance with the following terms and conditions of sale to the exclusion of all other terms and conditions (whether previously issued by us or appearing on any order form, purchase order or other documentation issued by you). 

Suitablity for Use

Every care is taken to maintain the highest standards of quality, but Winsor & Newton and our other suppliers wish to make it clearly understood that it is the user’s responsibility to ensure that the goods purchased are suitable for his or her particular requirements.
In no circumstances can claims be entertained for the value of work alleged to be spoilt by the use of a product which proves unsatisfactory, the makers’ liability being confined to replacement of any product proved to be defective in respect of materials or workmanship.

Packing & Description

Hills Fine Art & Craft has a policy of continuous product development. Whilst catalogue descriptions and illustrations are as accurate as possible at time of printing, we reserve the right to amend specifications without notice.

Promotions

Hills Fine Art & Craft run promotions; some of which will run for specified time limits. Orders must be placed within these dates. When placing an order online, the discount and /or price reduction will appear and be applied at check-out and not before it.

Back Orders

We operate a back order system. When back ordered goods arrive into stock, they will automatically be despatched with your next order, unless you inform us otherwise. You can also be notified directly via the website when an item comes back into stock by adding your email address in the specified box next to the product.

Product Coding System

A 7 digit coding reference number exists for most products included within our price list.
Our intention is that this system will simplify ordering. Where a range of colours/sizes/designs are available, the first 4 (or 2) digits of the reference number appear with the main product heading. The subsequent 3 (or 5) digits relate to the particular colour or size required, both elements should be combined to create the full 7 digit code.

Metrication

Metric measurements have been used as standard throughout this price list, although for comparative purposes imperial equivalents are included where space permits. All dimensions and weights are nominal, and are for guidance only.

Multiple Order Quantities

Certain products are subject to a multiple order quantity. Details are given on the appropriate pages where this ruling is applicable. Any order for less than the multiple order quantity will be automatically increased to the stated minimum.

Terms of Sales

The prices shown in this list are those recommended for sale by retail outlets. The retail prices are inclusive of VAT @ 23% (Euro)/ VAT @ 20% (Sterling) and whilst these are relevant at the time of printing, customers are reminded of our nominal conditions of sale whereby orders are accepted subject to price ruling at the time of despatch and we reserve the right to change prices from those previously published without notice.

Terms of Sales – Online Orders

Goods ordered online outside office hours (09:00 – 17:00 Mon-Fri) will only be processed once the order reaches the warehouse during office hours.

Please note, due to third place decimal rounding issues, there may be a slight difference between the price on the order confirmation screen and the invoice you will receive.
All orders will only be released when accounts are in good standing.

Trade Discounts

Trade discounts are only given to previously approved dealers holding adequate stocks for resale.

Payment Terms

All accounts that have been granted a credit limit are payable by the end of the month following the date of the invoice. Customers should note that invoiced goods remain the property Hills Fine Art until payment in full has been made. Please note that under EU legislation penalty interest will become payable if payments for transactions are not made within our stated terms.

Method of Payment – we accept various forms of payment: credit card; cheque (made out to Hill Agencies); electronic transfer direct to bank account.

Carriage and Handling Charges

Orders over €150.00 net (Excluding VAT)/£100 net (Excluding VAT) will be delivered free of charge. Due to the disproportionate cost of processing small orders, a handling charge of €9.00/£8 will apply to all orders below this value. We reserve the right to surcharge exceptionally heavy consignments, bulky goods of low value, deliveries to 3rd parties, and deliveries by passenger train or air freight.
For special orders which have to be dispatched separately an additional handling charge will be applied at the above rates.

Late of Non-Delivery of Goods

No responsibility can be accepted for late or non-delivery of goods, unless the company is notified within 14 days from the date of invoice.

Goods Lost or Damaged in Transit

Consignments damaged or with part contents missing must be signed for accordingly and reported to the company within 3 days of delivery.

  • A good’s return request form must be completed online HERE.
  • All fields are mandatory in order for the request to be verified and credit processed.
  • All price stickers should be carefully removed from product.
  • All goods should be packed and returned in original packaging where possible.
  • When we have received the returns form and it has been processed, collection will be arranged by the Warehouse, unless otherwise agreed.
  • Sales Rep will not collect returns unless authorised by the Warehouse.
  • Please ensure a copy of the returns form accompanies the returning goods.

Goods Return forms can be downloaded from https://www.hillsart.ie/customer_services/goods_return_form/. This form should be sent to [email protected]. A handling charge of 20% will be levied on all unauthorised returns. No goods are supplied on a sale or return basis.

New Accounts

A short time is required to administer the opening of new accounts.

Caution Hazardous Materials

To the best of our knowledge all materials listed in our Catalogue are safe for general usage unless cautioned with the symbol appearing against a Description, and comply with EEC Directive 88/379/EEC. The Preparations Directive and its UK implementation is Statutory Instrument 1984 S.I. 1244.
Where a cautionary warning appears it is to indicate that a product should be avoided if it is used in a manner other than the specified purpose or in a unsupervised environment. No responsibility for any mishap arising from noncompliance with this warning can be accepted by us. For further details please refer to pages 121 – 143 of the Winsor & Newton Catalogue. All Winsor & Newton aerosol products are ozone friendly and contain no chlorofluorocarbons (CFCs).

Risk/Title

Risk of damage to or loss of the goods shall pass to you at the time of delivery. Ownership of the goods shall not pass to you until we have received in full (in cash or cleared funds) all sums due to us in respect of the goods and all other sums which are or which become due to us from you on any account.
Until ownership of the goods has passed to you, you must hold the goods on a fiduciary basis as our bailee; store the goods (at no cost to us) separately from other goods belonging to you or any third party in such a way that they remain readily identifiable as our property; not destroy, deface or obscure any identifying mark or packaging on or relating to the goods; maintain the goods in satisfactory condition and keep them insured on our behalf for their replacement value against all risks to our reasonable satisfaction. You may resell the goods before ownership has passed to you solely on the condition that any sale shall be affected in the ordinary course of your business. Your right to possession of the goods shall terminate immediately if you have a bankruptcy order made against you or make an arrangement or composition with your creditors, or otherwise take the benefit of any statutory provision for the time being into force for the relief of insolvent debtors, or (being a body corporate) convene a meeting of creditors (whether formal or informal), or enter into liquidation (whether voluntary or compulsory) except a solvent voluntary liquidation for the purpose only of reconstruction or amalgamation.
We shall be entitled to recover payment for the goods notwithstanding that ownership of any of the goods has not passed to you. You grant us, our agents and employees an irrevocable licence at any time to enter any premises where the goods are or may be stored in order to inspect them, or, where your right to possession has terminated, to recover them.

Limitation of Liability

The limit of our liability to you is the making up of any shortfall, replacement, or refund of the price of the goods as provided for in this agreement. We are not responsible to you to any greater extent and in particular we are not liable to you for any indirect or consequential loss (including without limitation financial loss such as loss of profit or otherwise) which you may incur for whatever reason, as a consequence of our failure to comply with these terms and conditions. This condition does not operate to exclude or limit our liability in respect of death or personal injury caused by our negligence or fraudulent misrepresentation.
